The Firm provides advice and assistance in real estate matters to companies, investors and individuals, in the management, enhancement and structuring of real estate assets and portfolios, as well as in investment and divestment transactions.
The activity includes domestic and international real estate transactions, including acquisitions and transfers structured as asset deals or share deals, with assistance in the structuring of the transaction, due diligence, negotiation of contractual documentation and management of the relevant corporate, tax, planning and authorisation aspects.
The Firm also assists Italian and foreign clients in accessing the Italian real estate market and in the subsequent management and enhancement of real estate assets.
Real Estate Investment and Transfer Transactions
Assistance in the structuring and negotiation of purchase, sale, transfer and enhancement transactions involving real estate assets, including sale and purchase agreements, exchanges, options and transactions concerning real estate properties or interests in real estate companies.
The activity includes the management of due diligence and contractual documentation, with particular attention to planning and cadastral compliance, encumbrances affecting the properties and the proper allocation of risks and warranties between the parties.
Real Estate Contracts and Asset Management
Assistance in the drafting and negotiation of contracts relating to the management and exploitation of real estate assets, including preliminary and final commercial lease agreements, business or business unit lease agreements involving real estate assets, management agreements and further instruments for the use and enhancement of real estate assets.
The activity includes assistance to both owners and tenants or lessees, with particular attention to the regulation of free rent periods, the allocation of fit-out costs, the management of additions and improvements, services and common areas, as well as the regulation of maintenance obligations, guarantees and contractual remedies.
Real Estate Development and Planning Aspects
Assistance in real estate development transactions and in relationships among investors, owners, contractors, designers and other parties involved in the project.
The activity includes the coordination of the planning, authorisation and contractual aspects relevant to the transaction.
Corporate and Tax Aspects of Real Estate Transactions
Assistance in structuring real estate transactions from a corporate and tax perspective, also in coordination with tax advisory services, with particular attention to the implications concerning direct and indirect taxes, VAT, registration tax and local taxes.
Real Estate Litigation
Assistance in the management of disputes connected with real estate transactions and relationships, including claims relating to sale and purchase agreements, leases, management and real estate development, as well as liability, breaches of contract and performance-related aspects of contractual relationships.
The activity includes the management of judicial and out-of-court initiatives aimed at protecting the Client’s interests and resolving disputes connected with real estate assets.
